1. Acceptance of Terms

By registering for and using Scholar Assist, you ("School Administrator" or "User") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Scholar Assist ("we," "our," or "us"). If you do not agree to these Terms, do not use the service.

2. Access & License

Upon registration, Scholar Assist grants your school a non-exclusive, non-transferable, royalty-free license to access and use the platform for internal school management purposes. This license is limited to the number of users allocated to your school (up to 1,000 users). You may not sublicense, resell, or otherwise transfer access to any third party.

3. Permitted Use

You agree to use Scholar Assist only for lawful, educational purposes. You must not:

• Use the platform to store, transmit, or distribute unlawful content.
• Attempt to reverse-engineer, copy, or replicate any part of the service.
• Use automated tools to scrape or extract data from the platform.
• Share login credentials among multiple organizations.
• Use the platform in any way that violates FERPA, COPPA, or other applicable education privacy laws.

4. Data & Privacy

Your use of Scholar Assist is also governed by our Privacy Policy, which is incorporated into these Terms by reference. As the school administrator, you are responsible for ensuring that your use of the platform complies with applicable student data privacy laws, including obtaining necessary parental consents.

5. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify Scholar Assist of any unauthorized use or security breach. We are not liable for any loss or damage arising from your failure to protect your account.

6. Account Termination

• You may request to deactivate your school's account at any time by contacting us at info@scholaraidapp.com.
• We reserve the right to suspend or terminate access if these Terms are violated or for any other legitimate business reason.
• Upon termination, your data may be retained for a limited period before permanent deletion.

7. Service Availability

We strive to maintain high availability of the Scholar Assist platform but do not guarantee uninterrupted service. We may perform scheduled or emergency maintenance that temporarily affects access. We are not liable for any losses arising from service interruptions beyond our reasonable control.

8. Intellectual Property

All content, features, and functionality of Scholar Assist — including but not limited to the software, design, text, and graphics — are the exclusive property of Scholar Assist and are protected by applicable intellectual property laws. These Terms do not grant you any rights in Scholar Assist's trademarks, logos, or branding.

9. Disclaimer of Warranties

Scholar Assist is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, Scholar Assist shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising out of or related to your use of the service.

11. Modifications to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
